Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Hyena Inc. ("Hyena", "we", "us", or "our"). They govern your access to and use of Flex, including the mobile application, related services, and any content or features made available through them (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms incorporate by reference our Privacy Policy, Community Standards, and Reward Program Terms. Please read all of these documents together.

1. Who Can Use Flex

Age Limit

You must be at least 16 years old to use the Service. By using Flex, you confirm that you meet this requirement.

If you are between 16 and 18 years old, you confirm that your parent or legal guardian has given you permission to use the Service and agrees to be responsible for your use.

If we become aware that a user is under 16, we will suspend the account and delete associated personal data in accordance with our Privacy Policy.

Your Account

To use the Service, you need to create an account. When you do, you agree to:

  • Provide accurate, current, and complete information about yourself ("User Data").
  • Keep your account information up to date.
  • Maintain one account for your personal use only. Do not share your account or create multiple accounts to work around a suspension.
  • Keep your account secure. If you use a third-party sign-in service such as Apple or Google, you are responsible for maintaining the security of that third-party account.
  • Notify us immediately if you suspect unauthorized access to your account.

Third-Party Sign-In

You may create or log in to your account using a third-party service such as Apple or Google. If you do, you authorize Hyena to retrieve and pre-fill relevant account information based on that service's permissions. Information collected by third-party sign-in services is subject to their own terms and privacy policies.

2. The Service We Provide

Flex is a personal e-bike companion platform. We provide it to you for your personal, non-commercial use as a rider, meaning you may not use the Service to build a business, resell data, or operate a commercial service on top of it. Features such as EcoGem rewards and in-app redemptions are part of the Service and do not constitute commercial use on your part. We may add, change, or remove features at any time. We'll try to give you reasonable notice of significant changes.

Third-Party Integrations

The Service may allow you to connect with third-party services and platforms, including Strava, and others. When you connect a third-party service, information shared with or collected by that third party is governed by their own terms and privacy policies. Hyena is not responsible for the practices or content of any third-party service.

3. Your Content

What "Content" means

"Content" means anything you create, upload, or share through the Service, including ride activity posts, photos, comments, profile information, and any other data you submit.

You keep ownership

You retain ownership of your Content. Hyena does not claim ownership over what you share.

The license you give us

To provide the Service, we need your permission to use your Content. By submitting Content, you grant Hyena a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, store, reproduce, modify, adapt, publish, distribute, publicly display, and create derivative works from your Content, solely for the purposes of operating, improving, and promoting the Service.

For most Content, this license ends when you delete your Content or your account. However, for likes and comments you have made on other users' content, the license is perpetual in nature, we may continue to store and display this content after your account is deleted, and it will be shown anonymously as "Flex User."

Your responsibilities

You confirm that:

  • You own your Content or have the rights needed to share it.
  • Your Content does not infringe any third party's intellectual property, privacy, or other rights.
  • Your Content complies with our Community Standards and all applicable laws.

You are fully responsible for all Content you post. Hyena does not endorse or guarantee the accuracy of any user Content.

Ride Data

Ride data generated through your use of Flex, including GPS routes, speed, power, and cadence data, is processed in accordance with our Privacy Policy. Hyena may use anonymized and aggregated ride data for product improvement and research.

4. Intellectual Property

Hyena's IP

All rights in the Service, including its software, design, trademarks, logos, and content created by Hyena Inc., belong to Hyena or its licensors. Nothing in these Terms gives you any right to use Hyena's intellectual property beyond what is needed to use the Service normally.

Your Feedback

If you share ideas, suggestions, or feedback about the Service ("Feedback"), you grant Hyena a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose, without any obligation or compensation to you. Please do not share Feedback you are not comfortable giving us this permission for.

5. EcoGems and Rewards

Flex's EcoGem reward program is governed by the Reward Program Terms. The key things to know:

  • EcoGems have no monetary value and cannot be exchanged for cash.
  • EcoGems are non-transferable and may not be sold.
  • Hyena may modify or discontinue the EcoGem program at any time. We will provide reasonable notice of material changes.

6. Rules and Enforcement

Your responsibilities

Your use of the Service is subject to our Community Standards. In addition, you agree not to:

  • Attempt to gain unauthorized access to any part of the Service or its systems.
  • Interfere with or disrupt the performance or security of the Service.
  • Use bots, scrapers, or automated tools to interact with the Service without our written consent.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service in any way that violates applicable laws or regulations.

What we may do

Hyena may, consistent with applicable law, screen, moderate, restrict, or remove any Content that violates these Terms or our Community Standards. We may also suspend or terminate your account as described in Section 7.

Moderation decisions (such as removing a post or temporarily restricting community features) are separate from account termination and do not affect your ride history, EcoGem balance, or personal statistics unless explicitly stated.

7. Enforcement and Account Actions

7.1 Termination by You

You may delete your account at any time through Settings in the app. Upon deletion, your profile, ride activities, and follow relationships will be permanently deleted. Please note that likes and comments you have made on other users' content will be retained after deletion and displayed anonymously as "Flex User." The following sections will survive termination: Your Content, Intellectual Property, What We Don't Guarantee, Limitation of Liability, Your Responsibility to Us, and Governing Law and Disputes.

7.2 Suspension for Violations

For most violations of these Terms or our Community Standards, Hyena's response will be to restrict access to community features, including but not limited to posting activities, commenting, and appearing in rankings. Your ride history, EcoGem balance, personal statistics, and e-bike functionality will not be affected by a community feature suspension.

7.3 Account Termination by Hyena

Hyena reserves the right to terminate your account in the following circumstances:

  • You are found to be under 16 years of age.
  • You create multiple accounts to work around a suspension.
  • Unauthorized access attempts or actions that compromise the security of the Service.
  • Compliance with legal or regulatory requirements.
  • Discontinuation of the Service.
  • Severe or repeated violations of our Community Standards.

Termination takes effect immediately, and your right to access the Service ends at that point. The following sections will survive termination: Your Content, Intellectual Property, What We Don't Guarantee, Limitation of Liability, Your Responsibility to Us, and Governing Law and Disputes.

8. What We Don't Guarantee

Flex is provided on an "as is" and "as available" basis. We do our best to keep it running well, but we can't make promises about everything.

No warranties

To the fullest extent permitted by law, Hyena makes no warranties, express or implied, about the Service, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

Not safety or medical advice

Flex is a data and community platform. Nothing in the Service is intended as medical, fitness, or safety advice. You are responsible for your own safety when riding. Always follow local traffic laws and wear appropriate protective equipment.

Data is an estimate

Ride metrics shown in the app, including distance, calories, and power are approximations. We don't guarantee their accuracy.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Hyena will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if we have been advised of the possibility of such damages.

Hyena's total liability to you for any claims under these Terms will not exceed the greater of: (a) the total amount you paid to Hyena in the 12 months before your claim arose, or (b) USD $100.

10. Your Responsibility to Us

If your use of the Service causes a claim, loss, or legal expense for Hyena, including reasonable legal fees, because of your Content, your violation of these Terms, or your violation of someone else's rights, you agree to defend, indemnify, and hold harmless Hyena and its officers, directors, employees, and agents from those claims and costs.

11. Governing Law and Disputes

These Terms are governed by the laws of the Republic of China (Taiwan), without regard to its conflict of law principles.

If we have a disagreement

We encourage you to reach out to us first. If a dispute can't be resolved informally within 30 days, it will be handled by the Taiwan Taichung District Court as the court of first instance.

If you're in the EU, EEA, UK, Australia, or New Zealand

Nothing in these Terms takes away your rights under mandatory consumer protection laws in your country of residence. You can always bring a claim before the courts where you live.

12. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you through the app or by email at least 30 days before the new Terms take effect. Your continued use of the Service after that date means you accept the updated Terms. If you do not agree, you should stop using the Service and delete your account before the changes take effect.
